What is Power of Attorney Agent?

Real-estate Deals And The Securities Laws

When assembling a real-estate deal involving other investors sometimes referred to as “syndication”, one must comply with state and possibly federal securities laws. When securities are issued, they must be registered or fit within an exemption. Otherwise the investors later may be able to sue the principals B and the State and - or SEC can impose fines and jail sentences. Frequently an offering is structured to fit within exemptions to the laws that otherwise require registration of the securities. One must weigh the advertising needed, whether financial requirements will eliminate too many investors, whether investors will come from more than one state, etc. to determine the best exemption.

What the Law Says

In China, neither domestic companies nor Foreign Invested
Enterprises may own land outright; instead they own Land Use
Rights. There are two kinds of Land Use Rights – Allocated and
Granted. In comparison with Western common law concepts,
Allocated Land Use Rights are in some way similar to
leaseholds, and Granted Land Use Rights are in some ways
similar to life estates.

Allocated Land Use Rights are generally provided by the
government for an indefinite period (usually to state-owned
entities) and cannot be pledged, mortgaged, leased, or
transferred by the user. Furthermore, Allocated land can be
reclaimed by the government at any time.

Copyright Problems For The Unwary Real Estate Developer

Real estate lawyers take head. Waiting in the tall grass of your client’s real estate development project may be a thorny copyright issue that could cost your client all of the profit it earned on the project, and would probably buy you a serious malpractice claim.

In the course of developing a real estate project, whether it is a residential community or a commercial project, a central component of the project is the architectural plan. Unless the developer (and the developer’s counsel) are aware of how the Copyright laws affects what the developer can (and more importantly, can’t) do with the plan, the developer may find itself on the receiving end of a Copyright infringement lawsuit. Why? Because an architectural plan, as well as other architectural works, are protected under Copyright laws, and these laws govern who owns the plans and what can and can’t be done with the plan.
